How to adapt this NDA

Before you write

  • Identify each party by its full legal name and the project that requires disclosure.
  • Decide whether information flows both ways. List exclusions, permitted recipients and the period of confidentiality.

A practical example

For a prototype discussion, describe the purpose as evaluating a manufacturing partnership, and identify the drawings and cost models to be shared. Keep information already public outside the confidentiality definition.

Common mistake to avoid

Do not assume every conversation or every piece of information must stay confidential forever. A broad definition without exclusions can make the agreement difficult to apply.

Subject: MUTUAL NON-DISCLOSURE & CONFIDENTIALITY AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of the date written below, by and between the undersigned parties:

1. DEFINITION OF CONFIDENTIAL INFORMATION "Confidential Information" shall encompass all proprietary, technical, operational, financial, and strategic data disclosed by either party, whether disclosed orally, visually, or in tangible documentary or electronic form, designated as confidential or which reasonably ought to be understood as confidential.

2. NON-DISCLOSURE OBLIGATIONS & STANDARD OF CARE Each party agrees to hold all Confidential Information in strict confidence and shall exercise at least the same degree of care as it uses to safeguard its own proprietary information of like nature, but no less than a reasonable standard of professional care. Neither party shall disclose Confidential Information to any third party without prior written consent.

3. PERMITTED EXCLUSIONS Confidentiality obligations shall not apply to information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was already rightfully in the possession of the receiving party prior to disclosure; or (c) is independently developed without reference to the disclosing party's Confidential Information.

4. RETURN OF MATERIALS & GOVERNING LAW Upon written request or termination of discussions, the receiving party shall promptly return or certify the permanent destruction of all copies of Confidential Information. This Agreement shall be governed by and construed under the laws of the State of Delaware.
