Subject: MASTER PROFESSIONAL SERVICES & STATEMENT OF WORK

This Master Professional Services Agreement ("Agreement") governs the provision of enterprise consulting and technical deliverables:

1. SCOPE OF SERVICES & DELIVERABLES Provider shall render professional technical, engineering, and consulting services as delineated in approved Statements of Work. All services shall be performed in a professional and workmanlike manner adhering to prevailing industry standards.

2. INVOICING, FEES & EXPENSES Client shall remunerate Provider in accordance with the milestone fee schedule set forth in the applicable Statement of Work. Undisputed invoices shall be payable within thirty (30) days of receipt.

3. INTELLECTUAL PROPERTY & WORK PRODUCT Upon full and final payment of all relevant fees, all custom deliverables specifically created for Client under this Agreement shall constitute work-for-hire and become the exclusive property of Client, excluding pre-existing Provider frameworks and libraries.

4. LIMITATION OF LIABILITY & INDEMNIFICATION Neither party shall be liable for indirect, incidental, or consequential damages. Total cumulative liability arising out of this Agreement shall not exceed the aggregate fees paid or payable during the preceding six (6) month period.
